By accessing or using Stackd (the "App") or our website, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access our services.

2. Eligibility

• You have the legal capacity to enter into these Terms
• You are not prohibited from using our services under applicable laws

Content Standards

You agree that your User Content will not:

6. Prohibited Uses

The App and its original content, features, and functionality are owned by Stackd Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your use of our services is also governed by our Privacy Policy. Please review our Privacy Policy, which also governs the App and informs users of our data collection practices.

9. Disclaimers

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The App will function uninterrupted or error-free
• Defects will be corrected
• The App or servers are free of viruses
• Results from using the App will meet your requirements

10. Limitation of Liability

IN NO EVENT SHALL STACKD INC., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

11. Indemnification

You agree to defend, indemnify, and hold harmless Stackd Inc. and its affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

• Your use of and access to the App
• Your violation of these Terms
• Your violation of any third-party right
• Any User Content you post

12. Termination

We may terminate or suspend your account and access to the App immediately, without prior notice or liability, for any reason, including breach of these Terms.

Upon termination, your right to use the App will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the courts located in Delaware.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms constitute the entire agreement between us regarding our services and supersede any prior agreements we might have had between us.
